1. The agreement
These terms govern your use of Qubit (the "Service"), provided by Qubit ("we", "us"). By creating a workspace or using the Service you agree to them on behalf of the business you represent ("you"), and you confirm that you are authorised to do so.
If you do not agree, do not use the Service.
2. The Service
Qubit is a business messaging workspace: a shared inbox for channels such as WhatsApp, Instagram, Facebook, Telegram, LinkedIn, email and web chat, together with contacts, CRM, campaigns, automation, chatbots, AI-assisted replies, reports and a developer API.
We may improve, change or retire features over time. Where a change materially reduces what your paid plan includes, we will tell you in advance.
3. Your workspace and account
- You must give accurate business and contact details and keep them up to date.
- You are responsible for everyone you invite to your workspace and for what they do in it.
- Keep sign-in details confidential and turn on two-factor authentication where available. Tell us promptly if you suspect unauthorised access.
- You must be at least 18 years old and able to enter into a binding contract.
4. Third-party channels
Channels are provided by third parties such as Meta (WhatsApp, Instagram, Facebook), Telegram, LinkedIn, Google and Microsoft. When you connect one, you also agree to that provider's terms and policies - including, for WhatsApp, Meta's WhatsApp Business policies and commerce policy.
Those providers may approve, limit, suspend or change their services independently of us, for example by rejecting a message template or restricting a phone number. We are not responsible for their decisions, but we will help where we reasonably can.
5. Acceptable use
You must not use the Service to:
- send messages to people who have not agreed to hear from you, or ignore a request to stop;
- send spam, phishing, malware, or unlawful, deceptive, harassing or infringing content;
- break any law, including consumer protection, telemarketing, privacy and data protection laws;
- probe, overload or interfere with the Service, or try to access data that is not yours;
- resell or provide the Service to others without our written agreement.
We may suspend a workspace that puts the Service, our providers or other customers at risk. Where it is reasonable, we will warn you first and give you a chance to fix the problem.
6. Plans, wallet and payment
- New workspaces start with a free trial of the length shown on the plan. No payment is needed to start a trial.
- Paid plans are billed in advance for the monthly or yearly period you choose, at the price shown when you subscribe. Prices are in Indian rupees and exclude applicable taxes unless stated otherwise.
- Your subscription and usage charges, such as WhatsApp conversation charges, are paid from a prepaid wallet that you top up through our payment partner, Razorpay.
- Upgrades take effect straight away for the prorated difference. Downgrades take effect at the end of the current billing period.
- If a renewal cannot be paid, the workspace enters a grace period and may then be suspended until payment is made.
- We may change plan prices for future billing periods. Existing subscribers keep their current terms until their plan changes or we give notice.
Refunds and cancellations are covered by our Refunds and cancellation policy, which forms part of these terms.
7. Your data
You own the data you and your customers put into the Service ("Customer Data"). You give us permission to host, process and transmit it only as needed to provide, secure and support the Service, and as described in our Privacy policy.
You are responsible for having a lawful basis to collect and message the people in your workspace, and for honouring their rights under applicable data protection law. For Customer Data, you are the data fiduciary (controller) and we process it on your behalf.
You can export your data at any time while your workspace is active.
8. AI features
Optional AI features generate suggested or automatic replies using your knowledge base and conversation context, processed by our AI provider. AI output can be wrong; you are responsible for reviewing how you use it and for the replies sent from your workspace.
9. Cancellation and termination
You can cancel at any time from the billing settings. Cancellation stops renewal at the end of the period you have paid for, and you can undo it until then.
A cancelled or long-suspended workspace is kept for a retention period so you can come back or export your data, and is then permanently deleted. We may terminate these terms if you materially breach them and do not fix the breach after notice.
10. Warranties and liability
We work hard to keep the Service available and secure, but it is provided "as is" and we do not promise it will be uninterrupted or error-free, particularly where it depends on third-party channels.
To the extent permitted by law, we are not liable for indirect or consequential loss, lost profits or lost data, and our total liability for any claim is limited to the amount you paid us for the Service in the three months before the claim arose.
11. Governing law
These terms are governed by the laws of India. Any dispute will be subject to the jurisdiction of the courts where Qubit has its registered office.
12. Changes to these terms
We may update these terms. We will post the new version here with a new date and, for material changes, tell workspace owners by email or in the product before they take effect.
